These Terms of Use (the "Terms") are a binding agreement between you and KleinMind Psychiatry & Wellness, A Nursing Professional Corporation. They govern your access to and use of the website at kleinmind.com, together with any forms, email addresses, and content published on it (the "Site"). By accessing or using the Site you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms apply to your use of the Site. If you become a patient, the terms of your care are governed additionally and primarily by your treatment agreement, informed consent documents, financial policy, and the Notice of Privacy Practices provided during intake. Where those documents address a subject differently from these Terms, those documents control as to clinical care.

The Site is operated by KleinMind Psychiatry & Wellness, A Nursing Professional Corporation, a professional nursing corporation organised under the laws of the State of California (the "Corporation"). The Corporation trades and is commonly referred to as "KleinMind Psychiatry & Wellness," "KleinMind," "Klein Mind," and "KleinMind Psychiatry." Every such reference, on this Site or elsewhere, means the same legal entity, and in these Terms that entity is called "KleinMind," "the practice," "we," "us," or "our." Use of a shortened or informal name is for readability only and does not create, imply, or transfer any separate entity, partnership, or obligation.

All content on the Site is provided for general educational and informational purposes only. It is general in nature, is not tailored to any individual, and is not medical, psychiatric, psychological, diagnostic, therapeutic, pharmacological, legal, or financial advice.

Nothing on the Site — including reading educational content, completing a pre-screening form, sending an email, or receiving a reply — creates a clinician–patient, therapist–client, or professional relationship of any kind. A professional relationship is established only after a completed intake, signed consent to treatment, and a scheduled initial evaluation, and only where the clinician holds an active licence in the jurisdiction in which you are physically located.

Never disregard professional medical advice, and never delay seeking it, because of something you read on the Site. Do not start, stop, or change any medication based on Site content. Descriptions of conditions, treatments, timelines, and outcomes are general and illustrative. Individual results vary, and no outcome, improvement, diagnosis, or result is promised, guaranteed, or warranted.

The Site and this practice do not provide emergency, urgent, or crisis services, and do not offer after-hours crisis coverage. Messages sent through the Site are not monitored continuously and may not be read for some time. No response time is guaranteed.

If you are in crisis, experiencing a medical emergency, or thinking of harming yourself or another person, call or text 988 (Suicide & Crisis Lifeline), call 911, or go to your nearest emergency department. Do not use the Site, email, voicemail, or text messages to communicate an emergency.

The Site is intended for adults aged eighteen or older located in the United States. By using the Site you represent that you are at least eighteen and legally able to enter into these Terms.

Clinical services are offered only to individuals who are physically located, at the time of the appointment, in a jurisdiction where the clinician holds an active licence. It is your responsibility to inform the practice of your physical location at the start of each appointment. Misrepresenting your location may require the appointment to be terminated, and the applicable fee may still be charged.

Care is delivered by secure video. Telehealth has inherent limitations you accept by using the service, including that:

  • no physical examination, vital signs, or in-person observation is possible;
  • technology can fail, and connection quality, audio, video, or power interruptions may delay, degrade, or end an appointment;
  • in rare cases information conveyed may be insufficient to allow appropriate clinical decision-making, requiring referral to in-person care;
  • security and privacy protections, while robust, cannot be guaranteed absolutely; and
  • telehealth is not appropriate for every person or every condition, and the practice may determine that a higher level of care is required.

KleinMind is not responsible for the performance, availability, or security of your internet connection, device, software, or physical environment, or for any consequence arising from a technology failure outside its reasonable control.

KleinMind provides psychiatric care and psychotherapy to adults, including parents and couples navigating a NICU admission or the transition home. The practice does not provide medical care, treatment, or medical advice for infants or children. Care for a baby or child remains with their own neonatal, paediatric, or medical team.

The practice does not provide forensic evaluations, disability or custody determinations, court-ordered assessments, expert testimony, emotional support animal letters, or evaluations for legal proceedings, and nothing in the clinical record should be relied upon for those purposes.

This is a private-pay practice. The practice does not contract with insurance panels and does not bill insurance. Fees are provided in writing before booking, and a good-faith estimate is provided before your first visit as required by applicable law. A superbill is available on request for you to submit for out-of-network reimbursement; the practice does not guarantee that any insurer will reimburse any amount.

A payment method is kept on file and charged at the time of service unless otherwise agreed. Cancellations require at least 48 hours' notice; appointments cancelled with less notice, or missed, are charged the full fee, and such charges are generally not reimbursable by insurers. Fees are subject to change on reasonable notice.

Prescribing is a clinical decision made at the clinician's professional discretion. No medication, and no particular medication, is promised to any person, and requesting a specific prescription does not entitle you to receive it. Certain controlled substances carry additional legal requirements for telehealth prescribing, may require an in-person evaluation, and may not be prescribed by this practice at all.

You are responsible for taking medication as prescribed, attending agreed monitoring, reporting side effects promptly, and disclosing all other medications, supplements, and substances you use. Refill requests should be made during appointments or with reasonable notice; same-day refills are not guaranteed.

Standard email, web forms, voicemail, and text messages are not secure or encrypted end to end and can be intercepted, misdirected, or accessed by anyone with access to your device or account. By contacting the practice through these channels you accept those risks and consent to a reply by the same means.

Between-appointment messages are for brief administrative matters. Messages requiring clinical assessment will be directed to an appointment. No response time is guaranteed, and extended or substantive clinical correspondence may be declined or, where it constitutes clinical work, billed.

Clinical records are maintained and protected in accordance with HIPAA and applicable state law. How protected health information is used and disclosed is described in the practice's Notice of Privacy Practices, which is provided during intake and which governs your clinical record. Confidentiality is subject to the limits imposed by law, including mandatory reporting obligations and circumstances involving a serious and imminent threat to the health or safety of any person.

Information you submit through the Site before establishing care is website data governed by the Privacy Policy, not a clinical record.

You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorised access to any system, account, or data; probe, scan, or test the vulnerability of the Site; interfere with or disrupt the Site or its infrastructure; introduce malware or harmful code; scrape, harvest, or systematically extract content; use automated means to submit forms or messages; impersonate any person; or use the Site or its content to train a machine learning model without written permission.

All content on the Site — text, design, layout, graphics, logos, and the arrangement of it — is owned by KleinMind or its licensors and is protected by copyright, trademark, and other laws. You may view and print pages for your own personal, non-commercial reference. You may not otherwise copy, reproduce, republish, distribute, modify, or create derivative works from Site content without prior written permission. The KleinMind name and mark may not be used without permission.

You are responsible for the accuracy of everything you submit through the Site, including pre-screening and intake information. You represent that you have the right to provide it. Do not submit information about another person without their authorisation. Clinical decisions rest in part on the accuracy of what you provide, and KleinMind is not responsible for consequences arising from incomplete, inaccurate, or withheld information.

The Site may link to third-party websites and rely on third-party services, including hosting, video, scheduling, payment, and electronic health record providers. Those parties are not controlled by KleinMind. Their content, availability, security, and practices are their own, inclusion of a link is not an endorsement, and KleinMind disclaims all liability for any third-party site or service, and for the independent acts or omissions of any third-party provider, to the fullest extent permitted by law.

Your use of the Site is also governed by the Privacy Policy, which is incorporated into these Terms by reference. Protected health information created once you become a patient is governed by the Notice of Privacy Practices rather than by the Privacy Policy.

To the fullest extent permitted by applicable law, the Site and all content, materials, and functionality on it are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or arising from course of dealing or usage of trade.

KleinMind expressly disclaims all such warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. KleinMind does not warrant that the Site will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Site or its servers are free of viruses or harmful components; or that any content is accurate, complete, current, reliable, or suitable for your situation. Some jurisdictions do not allow the exclusion of certain warranties, in which case the above applies to the maximum extent permitted.

To the fullest extent permitted by applicable law, KleinMind Psychiatry & Wellness, A Nursing Professional Corporation and its shareholders, directors, officers, clinicians, employees, contractors, agents, affiliates, successors, and assigns (together, the "Released Parties") shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or in any way connected with your access to, use of, or inability to use the Site, whether based in contract, tort, negligence, strict liability, statute, or any other legal theory, and whether or not the Released Parties were advised of the possibility of such damages.

To the fullest extent permitted by applicable law, the total aggregate liability of the Released Parties for all claims arising out of or relating to the Site and these Terms shall not exceed one hundred United States dollars (US$100.00).

Without limiting the foregoing, the Released Parties are not liable for: reliance on any Site content; interruption, downtime, or unavailability of the Site or of a telehealth appointment; transmission errors, corruption, delay, or non-delivery of any communication; unauthorised access to or alteration of transmissions or data; the acts or omissions of any third-party service provider, hosting platform, or linked website; any insurer's refusal to reimburse; or any decision you make, or fail to make, on the basis of Site content.

Nothing in these Terms limits, excludes, or waives any liability that cannot lawfully be limited, excluded, or waived. This includes, without limitation, liability for professional negligence in the delivery of clinical care, liability arising under HIPAA or applicable state health-privacy law, liability for fraud, fraudulent misrepresentation, or wilful misconduct, liability for death or personal injury caused by negligence, and any right or remedy conferred by statute that may not lawfully be disclaimed.

These Terms govern your use of the website. They do not and cannot alter the professional and legal duties owed to established patients, which are governed by the treatment agreement, the Notice of Privacy Practices, applicable licensure law, and the applicable standard of care. If any provision of Section 18 is held unenforceable, it shall be enforced to the maximum extent permitted and the remainder of these Terms shall continue in force.

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Released Parties from and against any claim, demand, action, loss, liability, damage, cost, or expense, including reasonable legal fees, arising out of or relating to your use of the Site, your violation of these Terms or of any applicable law, your infringement of the rights of any third party, or any content you submit. KleinMind may assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate.

KleinMind may modify, suspend, or discontinue the Site, in whole or in part, at any time and without notice, and may restrict or terminate your access to it for any reason, including violation of these Terms.

Ending a treatment relationship is a separate clinical matter governed by your treatment agreement and by professional obligations, including reasonable notice and assistance in arranging continuing care where appropriate. Nothing in this section permits abandonment of a patient in active treatment.

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to the paragraph below, you and KleinMind consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.

Before filing any claim, you agree to contact KleinMind and attempt in good faith to resolve the dispute informally for at least thirty days. To the extent permitted by law, any claim arising out of these Terms or your use of the Site must be brought within one year after the claim arises, and must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

This section does not apply to any claim relating to the provision of clinical care, which remains governed by applicable state law, the treatment agreement, and any dispute-resolution provisions contained in it.

If any provision of these Terms is held invalid, unlawful, or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions shall continue in full force and effect. No failure to enforce any provision constitutes a waiver of it. You may not assign these Terms; KleinMind may assign them in connection with a transfer of practice assets, subject to applicable law governing health records. KleinMind is not liable for any failure or delay caused by circumstances beyond its reasonable control, including outages, natural events, and acts of third parties. These Terms, together with the Privacy Policy and, for patients, the treatment documents, constitute the entire agreement regarding the Site.

These Terms may be updated from time to time. The revised version takes effect when posted, and the "Last updated" date will be revised. Material changes will be identified at the top of this page for a reasonable period. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
